1.Who we are

Scriptr is provided by [Company legal name] (“Scriptr”, “we”, “us”), a company registered in [England and Wales] under company number [number], with its registered office at [registered address]. These terms apply when you use the Scriptr website, web app and desktop apps (together, the “Service”).

2.Your account

You need an account to use the Service. You must be at least [18] years old, give us accurate information and keep your sign-in details secure. You are responsible for what happens in your account.

If you use Scriptr on behalf of an organisation, you confirm that you have authority to accept these terms for it.

3.Your work is yours

You own everything you write, upload or create in Scriptr (“Your Content”). We do not claim any ownership of it.

You give us a limited licence to host, store, copy, process and display Your Content only as needed to run the Service for you and for the people you choose to share it with, including sending the relevant parts to the model providers that power Co-writer and generation when you use those features. This licence ends when you delete Your Content or your account, except for copies we must keep by law or that remain for a short time in backups.

4.Co-writer and generated material

Co-writer and image and video generation use third-party models, listed in our Privacy Policy. What they produce can be wrong, incomplete or similar to existing material. Please review it before you rely on it or use it in your work.

As between you and us, you own the material you generate, subject to the model providers’ terms and to the law. [Legal to confirm.]

Co-writer only changes your project in the way your chosen approval mode allows. With “Always ask”, nothing changes until you accept a proposal.

5.Using Scriptr responsibly

You agree not to use the Service to:

• break the law, or infringe anyone’s copyright, privacy or other rights;
• generate material that is unlawful, sexualises minors, or depicts real people in a way they have not agreed to;
• upload malware, or try to access accounts, systems or data that are not yours;
• overload, scrape, copy or reverse engineer the Service, or get around its limits;
• resell the Service without our written agreement.

The model providers’ own usage policies also apply to what you ask Co-writer and generation to do.

6.Plans, payment and cancellation

Scriptr has a Free plan and paid plans, currently Writer and Max, billed monthly or yearly in advance. Current prices are on our pricing page and include [VAT, where applicable].

Paid plans renew automatically until you cancel. You can cancel at any time from your account settings; you keep your plan until the end of the period you have paid for, and then move to Free. [Refund policy to confirm.]

If you are a consumer in the UK or EU, you may have a legal right to cancel within 14 days of buying. [Legal to confirm how this applies to digital services that start immediately.]

We will tell you at least [30] days before a price change affects you, and you can cancel before it does.

7.Credits and generation allowance

Each plan includes a monthly number of Co-writer credits and, on Writer and Max, a generation allowance. These reset each billing month and do not roll over. [Confirm.] Additional generation is charged at the usage prices shown to you before you buy.

8.Sharing

When you share a project by link, anyone with the link can see what you have shared. You can turn sharing off at any time. Please only share material you have the right to share.

9.Changes to Scriptr and to these terms

Scriptr will keep changing as we improve it. If we make a change to these terms that matters, we will tell you before it takes effect. If you do not agree, you can stop using the Service and close your account.

10.Closing your account

You can close your account at any time. Export anything you want to keep first: we delete Your Content within [30] days of closure, apart from what we must keep by law.

We may suspend or close an account that seriously or repeatedly breaks these terms. Where we can, we will tell you first and give you a chance to export your work.

11.Our responsibility to you

We provide the Service with reasonable care and skill. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law, and nothing affects your legal rights as a consumer.

Otherwise, we are not responsible for losses that were not foreseeable, or for business losses. Our total liability to you is limited to [the amount you paid us in the 12 months before the claim].

12.Law

These terms are governed by the law of [England and Wales]. If you are a consumer, you can bring a claim in the courts where you live.
